Terms of Use

These Terms of Use (“Terms”) govern your access to and use of spearstone.partners (the “Site”), operated by Spearstone, Inc. (“Spearstone”, “we”, “us”), a company incorporated in Alberta, Canada. By accessing the Site you agree to these Terms. If you do not agree, please do not use the Site.

1. These Terms are not a services agreement

This is the single most important clause on this page. Please read it carefully.

  • The Site does not create a consulting or advisory relationship. Browsing the Site, submitting the contact form, booking an introductory call, or corresponding with us does not by itself make you a client of Spearstone.
  • Nothing on the Site is professional advice. The content is general information about our services. It is not legal, financial, investment, tax, accounting, engineering, security, or other professional advice, and must not be relied upon as a substitute for advice from a qualified professional who knows your circumstances.
  • Engagements are governed by a separate written agreement. Any provision of consulting, advisory, development, coaching, or outposting services by Spearstone is governed exclusively by a statement of work, master services agreement, or other written contract signed by both parties. Where such an agreement conflicts with these Terms, that agreement prevails in respect of the services.
  • Descriptions of services are not offers. Service descriptions, delivery stages, timeframes, and capabilities described on the Site are illustrative. They are not commitments, warranties, or an offer capable of acceptance.

2. Permitted use

We grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Site for your own information and for legitimate business evaluation of our services. You may print or download individual pages for that purpose.

3. Prohibited conduct

You agree not to:

  • Use the Site in breach of any applicable law or regulation.
  • Probe, scan, or test the vulnerability of the Site or any connected system, or breach or circumvent any security, authentication, or rate-limiting measure.
  • Access the Site by automated means — scraping, crawling, harvesting, or similar — except by a search engine operating in accordance with our robots.txt.
  • Use the Site’s content to train, fine-tune, or otherwise develop a machine learning or artificial intelligence model without our prior written permission.
  • Submit false, misleading, or another person’s information through the contact form, or use it to transmit unsolicited commercial messages, spam, or malicious content.
  • Interfere with the Site’s operation or impose an unreasonable load on our infrastructure, including through any denial-of-service activity.
  • Reproduce, republish, frame, mirror, or commercially exploit any part of the Site except as permitted in section 2.
  • Remove or obscure any copyright, trade mark, or other proprietary notice.

4. Intellectual property

The Site and its contents — text, layout, graphics, design, structure, source code, methodologies, and the selection and arrangement of all of it — are owned by Spearstone or its licensors and are protected by copyright and other intellectual property laws.

“Spearstone”, the Spearstone logo, and “Discover. Prove. Sharpen.” are marks of Spearstone, Inc. Third-party names, logos, and marks appearing on the Site remain the property of their respective owners and are shown for identification purposes only. Their appearance does not imply any endorsement of Spearstone by those owners, nor any endorsement by us of them.

Any feedback, suggestion, or idea you send us about the Site or our services is provided non-confidentially, and you grant us a perpetual, irrevocable, royalty-free licence to use it without obligation or attribution.

5. Third-party sites and services

The Site links to third-party websites and services, including our scheduling provider and our technology partners. Those links are provided for convenience. We do not control and are not responsible for their content, availability, terms, or privacy practices, and a link is not an endorsement. Your use of a third-party service is governed by that party’s terms.

6. Disclaimer of warranties

The Site is provided “as is” and “as available”. To the fullest extent permitted by law, Spearstone disclaims all warranties, conditions, and representations, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Site will be uninterrupted, timely, secure, or error-free.

We make no warranty that information on the Site is complete or current, and we may change or withdraw any part of it at any time without notice. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

7. Limitation of liability

To the fullest extent permitted by law, Spearstone and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, arising out of or in connection with your use of, or inability to use, the Site — whether based in contract, tort (including negligence), statute, or otherwise, and whether or not we were advised of the possibility.

Our total aggregate liability arising out of or relating to the Site is limited to one hundred Canadian dollars (CAD $100).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence. This section does not govern liability under a signed services agreement, which contains its own liability provisions.

8. Indemnity

You agree to indemnify and hold harmless Spearstone and its directors, officers, employees, and contractors from any claim, liability, loss, damage, cost, or expense (including reasonable legal fees) arising from your breach of these Terms or your unlawful or improper use of the Site.

9. Privacy

Our handling of personal information is described in our Privacy Policy, and our use of cookies in our Cookie Policy. Both form part of these Terms by reference.

10. Availability and changes to the Site

We may modify, suspend, or discontinue the Site or any part of it at any time, with or without notice. We are not liable to you for doing so.

11. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them or the Site are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in it, without regard to conflict-of-laws rules.

You agree to the exclusive jurisdiction of the courts located in Calgary, Alberta for the resolution of any such dispute, and you waive any objection to venue in those courts. If you are a consumer resident in a jurisdiction whose law grants you the right to bring proceedings locally, this clause does not remove that right.

12. General

  • Severability. If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in force.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Site.
  • Changes. We may revise these Terms at any time. The “last updated” date above will change, and continued use of the Site after that date means you accept the revision.
  • Language. These Terms are drawn up in English at the parties’ express request.
